Background Information

Set clear terms for cleaning and maintenance services

This agreement defines the duties, payment terms, and safety responsibilities between clients and cleaning service providers, protecting both parties from disputes.

What is a cleaning services agreement?

Business owners, managers, property operators, maintenance contractors, and facility service providers often enter into a cleaning services contract that:

  • Outlines the terms between two parties
  • Defines the scope of the service
  • Puts safety obligations into the agreement
  • Solidifies the payment and deposit conditions
  • Sets procedures for dispute resolution and contract termination

For example, if Company A hires Company B under a cleaning services agreement, the contract will provide clear terms, such as frequency, tasks to be performed, rate or fee, penalties for late payments, duration of the contract, and liabilities.

Your cleaning services agreement template, once completed and signed, safeguards both Company A and B.

Company A has a clear scope of the cleaning services that they’ll have performed, while Company B has clear obligations that they can follow to completion.

If any disputes arise due to the scope or payment terms, both parties can refer back to the contract for clarity.

Who uses a cleaning services agreement?

A cleaning contract template is useful for both:

  • Company A: The company that is outsourcing the cleaning, also known as the “client.”
  • Company B: The person, company, or team responsible for the installation or maintenance of appliances, and also for cleaning services.

Organizations require regular appliance upkeep and maintenance, and they also need someone to handle their cleaning. Your agreement may or may not include the appliance portion, but it will include the cleaning of:

  • One or more properties
  • Service sites

If certain appliances are to be installed or maintained by Company B, the requirement of service will explain what type of maintenance is to be performed and when. Personnel may be required to be equipped with certain tools or devices, such as a leak detector or safety rope, which is in the contract.

Contracts are beneficial for both Company A and B so that each company has their respective protections in place.

What should be included in a cleaning services agreement?

Cleaning services agreements are comprised of multiple key clauses that add protections and requirements for all signing parties. Some of the key, most common clauses that should be included in your contract are:

Scope of cooperation

The scope of cooperation clause is where Company A mentions what they intend to outsource, such as cleaning services, installation, and maintenance. Company B agrees to this cooperation upon signing.

Service process

Similar to a statement of service, the service process is where specifics are outlined. For example, the type of emergency repairs that Company B must make, maintenance, and cleaning services.

Cleaning services may have the service areas that are not required to be cleaned, such as paintings or valuables that require specific maintenance.

Within the service scope, it’s not uncommon for records to be kept.

Requirements of service

A clause that includes extensive requirements, including start and completion dates, certification requirements of Company B, and equipment that the personnel must have when performing service.

Party B will also be required to arrange personnel for the management services they provide, which is explained within this clause.

Payment method

The payment method clause outlines when the payment is to be settled, how long the terms of they agreement are, costs, and deposit requirements, too.

Party responsibility

Party A and B both have very specific responsibilities that are often divided into two clauses within the contract. For example, Party A may be required to supply the building with power and water, and Party B must abide by industry safety standards and arrive onsite within 24 hours of service notifications.

Liability for breach of contract

A clause that outlines the liability for breach of contract for both parties. Party A will be responsible for paying Party B, or they risk breach of contract. For example, the debtor must repay Party B within 30 days or Party B can terminate the contract and require interest payments.

Dispute resolution and termination

A cleaning services contract will include a dispute resolution and termination clause. This clause explains how disputes are resolved and what happens if a resolution cannot be agreed upon.

Either party can also terminate the contract, and the requirement on how to do so is found within the termination clause.

Agreement duration

The part of the cleaning services agreement in which the contract’s duration is listed. If a trial period is included, it will be listed in this clause.

Confidentiality

Commercial information may be learned during the scope of work, and this is why the confidentiality clause is included in the contract. For example, Party B may not leak information without Party A’s consent. Confidentiality may last for a year (or the term in the contract) after termination.
