Scope of Cooperation
Party A intends to outsource appliance installation, maintenance, and cleaning services to Party B. Party B agrees to undertake these services for Party A.
Service Process
Appliance Maintenance Service
Emergency Repair of Appliance (Excluding Accessories)
Includes, but is not limited to:
Replacement of compressor, condenser, evaporator, circuit board
Capillary ice blocking treatment
Replacement of fan motor, controller, copper pipe
Adding freon
Repair welding of connecting pipe of internal and external units
Dirty blocking treatment of system pipeline
Replacement or adjustment of fan blade, thermistor (temperature sensing package), capillary, transformer, motor capacitor, AC contactor, PVC drain pipe, water leakage terminal block, bell mouth, fixing bolt, etc.
All electrical spare parts (including power line) are to be provided by the . Other auxiliary materials such as copper pipe insulation cotton, drain pipe, screw, insulation tape, binding tape, etc., shall be provided by the .
Emergency Repair of Appliance (Including Accessories)
Includes the same services listed above. All materials (electrical spare parts and auxiliary materials) involved in the repair process shall be provided by the . The shall not provide any materials.
In-depth Maintenance of Appliance
Includes:
Testing and recording of working voltage and current
In-depth cleaning, disinfection, and sterilization of indoor equipment
In-depth maintenance of outdoor equipment
Cleaning Services
Cleaning Standard and Fee
The cleaning service shall be calculated based on , at a rate of per unit.

Requirements of Service
Enterprises must possess the necessary qualifications for appliance installation, maintenance, and construction, and must demonstrate capabilities in appliance maintenance and machine disassembly/assembly.
In-depth appliance maintenance must begin in each year and be completed by .
Maintenance personnel must hold valid certificates including electrician, refrigeration maintenance operation, aerial operation, and welder certifications. Personnel must perform work with these certificates, comply with all relevant safety regulations, and assume responsibility for personal and property safety.
Personnel must be equipped with essential professional tools, including multimeter, clamp flow meter, pressure gauge, welding tool, high-pressure cleaning pump, leak detector platform, safety rope, vacuum pump, and any other tools necessary for emergency repair, disassembly, and assembly services.
During cleaning, attention must be paid to conserving water and electricity, and indoor/outdoor facilities and equipment must be treated with care.
Party B shall assign managerial staff to oversee cleaners and liaise with Party A. Party B is responsible for regularly training the cleaning personnel and maintaining staffing stability. Cleaners must wear uniforms and work badges, follow Party A’s operational policies, adhere to confidentiality requirements, and deliver services professionally and courteously.
Party B must dispatch an experienced coordinator to the service site to manage and organize cleaning tasks. Any personnel changes must be communicated in writing to Party A at least in advance.
Payment Method
Charges for appliance installation, maintenance, and cleaning services shall be based on actual services rendered and prevailing market rates, and shall be settled .
Agreement duration: This Agreement is valid for 0 years from the date of signing. The initial is a trial period. After the trial period, Party A agrees to subcontract no less than to Party B each month.
Within 0 days from the date of signing this Agreement, Party B shall pay Party A a deposit of to demonstrate its capacity to fulfill the contract. The deposit shall be fully refunded to Party B within 0 days after the Agreement’s expiration.
Party A’s Responsibility
Provide water, electricity, site access, and other necessary conditions to enable service fulfillment.
Coordinate the work of all involved parties on-site.
Facilitate Party B’s access to the service site.
Party B’s Responsibility
Deliver services to Party A strictly in accordance with established standards and accept Party A’s supervision to ensure service quality.
Arrive at the service site within 0 days after receiving Party A’s service request.
Notify Party A of any required maintenance before performing the work. Replaced parts shall have a free warranty period of after replacement.
Comply with all industry-standard safety operating procedures during appliance installation, maintenance, and cleaning services. Party B must ensure proper care of tools and equipment. Any personal injury or property damage resulting from negligence shall be the responsibility of Party B.
Party B’s cleaners shall be liable for compensation and any legal consequences in the event of fires or other safety incidents caused by improper handling of flammable cleaning materials or electrical devices.
Party B shall not use high-concentration acidic or alkaline cleaning agents that could damage surfaces or structures. Any damage, including discoloration or structural harm, shall be compensated by Party B.
Party B is responsible for supplying all necessary personnel, cleaning equipment, tools, and adequate cleaning materials to perform the services as specified (based on the standards provided in the ). Party B shall also maintain and repair all cleaning machinery to keep it in proper working condition.
Liability for Breach of Contract
If Party A fails to make timely payments to Party B as required under this Agreement, Party B may issue a written notice stating the outstanding amount. If full payment is not received within 0 days of notice receipt, Party B reserves the right to terminate the Agreement, demand return of the deposit, and require interest to be calculated at the .
If Party B causes personal injury or property damage to Party A, its clients, or any third party during service delivery—or if Party B’s personnel, subcontractors, or representatives suffer personal injury or property damage in the course of service—Party B shall bear full liability for all such losses.
Dispute Resolution and Termination of Agreement
Disputes arising under or in relation to this Agreement shall be resolved through mutual negotiation. If negotiation fails, either party may bring the dispute before the court in . This Agreement and its legal interpretation shall be governed by .
Either party may terminate this Agreement with written notice to the other party. Upon termination, the deposit shall be returned. If Party A initiates the termination, interest on the deposit shall be calculated at the ; if initiated by Party B, no interest shall be paid.
If either party commits a material breach and fails to rectify it within after receiving written notice from the other party, the non-breaching party may terminate this Agreement.
Termination of this Agreement does not affect any obligations that should have been fulfilled by either party prior to the termination date.

Confidentiality Policy

During the validity of this Agreement and for a period of following termination, both parties shall maintain the confidentiality of any proprietary or business information learned during cooperation. Breaches of this provision shall entitle the non-breaching party to claim compensation and damages for losses incurred.
