What is a right of rescission?
A right of rescission is the right to cancel a contract after it has been signed and to unwind it as if it had never been made. Money is refunded, property or security is returned, and both parties go back to where they were.
It comes from three sources:
- Statute: consumer protection and securities laws give a short cooling-off period after signing, such as the three-day right to rescind certain home loans.
- The contract: the parties agree when one or both of them may rescind, for example if a closing condition fails.
- Court remedy: a court can rescind a contract induced by misrepresentation, fraud, duress, undue influence or a serious mutual mistake.
Rescission is different from termination. Termination ends a contract for the future; rescission treats it as void from the start and reverses what was performed.
The 3-day right of rescission for home loans (TILA)
The best-known right of rescission comes from the US Truth in Lending Act and Regulation Z (12 CFR 1026.23). It applies to many consumer credit transactions secured by the borrower’s principal dwelling, such as refinances with a new lender, home equity loans and home equity lines of credit. It does not apply to a mortgage used to buy the home.
- The period: the borrower can rescind until midnight of the third business day after the latest of closing, delivery of the notice of the right to rescind, and delivery of the required disclosures.
- Business days: for this rule, every calendar day except Sundays and federal public holidays. A Friday closing means the period usually ends at midnight on the following Tuesday.
- No money moves until the period ends, apart from certain exceptions, which is why refinance funds arrive a few days after signing.
- How to rescind: by written notice to the lender. The lender then has 20 calendar days to return any money paid and release its security interest.
- If the notice or disclosures were missing, the right can last up to three years after closing. The Supreme Court confirmed in Jesinoski v. Countrywide (2015) that a borrower exercises it by written notice within that time, without having to sue.
The borrower can waive the waiting period only for a bona fide personal financial emergency, in a signed, dated statement.
Other statutory rights to cancel
| Right | Who has it | Period |
|---|---|---|
| FTC Cooling-Off Rule | Buyers in certain sales made at their home or at temporary locations, above set price thresholds | 3 business days |
| Age discrimination waivers (OWBPA) | Employees 40 and over who sign a release of age claims | 7 days to revoke after signing, after at least 21 days to consider (45 in group terminations) |
| State laws | For example, some states give longer rescission periods for releases of state discrimination claims | Varies |
| Securities laws | For example, Florida purchasers in certain exempt private offerings, as in one sample above | 3 days |
| EU consumer law | Consumers buying online or off-premises | Usually 14 days |
Rescission clauses in commercial contracts
Business contracts use rescission in two ways:
- As a right: one sample, from a share purchase agreement, lets either party rescind if a closing condition such as a regulatory approval fails, and the buyer rescind if a seller does not perform its closing obligations, with the consequences spelled out: all rights and obligations end without liability, except for listed breaches.
- As something excluded: loan and receivable sales include a representation that no borrower has a right of rescission, setoff or defense, because a rescindable loan is worth less to a buyer. Two samples show this.
How to draft a contractual rescission right
- Name the trigger: a failed condition, a missed closing deadline, a breach of a specific warranty.
- Set the period and method: by written notice within a set number of days.
- State the consequences: what is returned, who pays costs, and whether damages are excluded.
- List what survives, such as confidentiality and dispute resolution.
- Coordinate with other remedies, so rescission and damages do not overlap or conflict.

Most rescission periods run from the moment a document was signed or a notice was delivered, and disputes often turn on exactly when that was. In fynk, the audit trail records when each document was sent, opened and signed, so the start of a rescission or revocation period can be shown with a timestamp rather than reconstructed from emails.
Which contracts include a right of rescission?
Consumer refinance and home equity loan documents, door-to-door and off-premises sales, separation agreements and releases, private placement subscription documents, share and asset purchase agreements, and timeshare and membership contracts. Loan and receivable purchase agreements often include a representation that no right of rescission exists. This free template refers to rescission as a remedy:

- Mutual termination A mutual termination clause allows both parties in a contract to agree to end their agreement by mutual consent, effectively releasing each other from further obligations under the contract. This clause typically outlines the conditions and procedures required for both parties to initiate and formalize the termination process.
- Termination of contract The "Termination of Contract" clause outlines the conditions and procedures under which either party can end the agreement before its natural expiration. It typically includes definitions of breach, notice periods, acceptable grounds for termination, and any associated penalties or obligations upon termination.
- Condition precedent A condition precedent is a contractual clause that specifies an event or action that must occur before a party is obligated to perform their duties under the contract. If the condition is not met, the contract may become void or the obligations are suspended until the condition is satisfied.
- General release A general release clause is a contractual provision where one party waives any current or future claims or rights they may have against the other party, often in exchange for a sum of money or other consideration. This clause aims to bring finality to disputes or potential disputes, preventing any further legal actions related to the matters covered by the release.
