Applicable Products are defined as Solaria solar modules developed for the residential market (PowerXT-xxxR) or commercial market (PowerXT-xxxC) where “xxx” is the power rating of the module.

WARRANTY EXCLUSIONS:
THIS LIMITED PRODUCT WARRANTY SHALL NOT APPLY TO PRODUCTS THAT HAVE BEEN SUBJECT TO:
(a)
Use that is not consistent with Products’ intended purpose and in accordance with Products’ documentation;
(b)
Misuse, damage, abuse, neglect or accident; alteration, improper installation, application or removal, placed or mounted in an unsuitable physical or operating environment or maintained improperly; power failure or voltage surges, lightning, flood, fire, accidental breakage or other events outside Solaria’s control;
(c)
Use with equipment not authorized by Solaria, including mirrors or other solar systems of any kind;
EXCEPT AS EXPRESSLY WARRANTED IN THIS LIMITED PRODUCT WARRANTY, THE PRODUCT IS PROVIDED “AS IS,” AND CUSTOMER’S USE THEREOF IS AT ITS OWN RISK. SOLARIA DOES NOT MAKE, AND HEREBY DISCLAIMS, ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. SOLARIA DOES NOT WARRANT THAT THE PRODUCTS WILL OPERATE WITHOUT INTERRUPTION OR WILL BE DEFECT-FREE, OR THAT THE PRODUCTS WILL MEET CUSTOMER’S REQUIREMENTS.
The remedies in this Limited Product Warranty are Customer’s sole and exclusive remedies and are in lieu of all other remedies at law or in equity, notwithstanding any failure of essential purpose.
This Limited Product Warranty is governed by the laws of the State of California, without regard to its conflicts of law provisions. Customer hereby consents to the exclusive jurisdiction and venue of the state and federal courts located in the Northern District of California for all disputes related to the Products.

Regarding Product Warranty Expenses
Regarding the summary of consolidated financial results for the fiscal year ended March 31, 2023, which was announced on May 11, 2023, the estimate relating to product warranty expenses has subsequently changed due to the decision to file new product recalls and other factors. The amount of product warranty expenses as a result expected to be incurred is 58.6 billion yen.
The product warranty has a 10-year term, commencing on the date of purchase by the original end use purchaser or six months after the modules are shipped out of the production plant. The limited product warranty warrants that the modules will be free from defects in materials and workmanship under normal application, installation, use, and service conditions. In the event of a valid product warranty claim, LONGi will, at its sole option, repair or replace the module(s).
Trina Solar offers a 10-year limited product warranty and a 25-year limited peak power warranty for its polycrystalline and monocrystalline modules. 2.9 Product Warranty
2.9.1. Product Warranty. Company hereby represents and warrants that any Product sold under this Agreement and any replacement Product (a) is free and clear of any liens, security interests, or encumbrances of any nature; (b) has been designed, manufactured, labeled, packaged, stored, exported, and sold by Company in accordance with all applicable laws, regulations, rules, and restrictions; and (c) is free from defects in material and workmanship under normal conditions of storage, handling, and use from delivery of the Product until the Product expiration date (the “Warranty Period”)(together, the “Product Warranty”).
7. Product Warranties.
(a) Product Warranty. Except as provided in Section 2(d) with respect to any MLPEs, Supplier’s warranty obligations with respect to each Product are described in the Limited Product and Power Warranty that corresponds to each Product and is attached as Exhibit D (the “Product Warranty”). Except for non-conforming non-fungible Product sold to Customer pursuant to Section 4(c), the Product Warranty shall apply to Products supplied under this Agreement and Supplier represents and warrants to Customer that the Products (i) will be new (when first delivered), (ii) will be free from defects in materials and workmanship, and (iii) when delivered shall conform to the Product Specifications. Modifications or additions to the Product Warranty or Supplier’s warranty obligations will become binding only following the execution of a written amendment to this Agreement signed by both Parties. Unless the Parties otherwise agree, all claims filed in connection with any Product Warranty are subject to and governed by such Product Warranty.
"Product Warranty and Returns Terms" means WSA's product warranty terms and exchange and returns policy set out in SCHEDULE D - MANUFACTURERS' WARRANTY PERIOD, PRODUCT WARRANTY AND RETURNS TERMS.
WSA shall provide a manufacturer’s warranty, covering manufacturing defects or faults arising from normal hearing aid use, for those of the Products and for the period set out in Section 1 of SCHEDULE D - MANUFACTURERS' WARRANTY PERIOD, PRODUCT WARRANTY AND RETURNS TERMS ("Warranty") in respect of the relevant Territory ("Manufacturer’s Warranty Period"). In the event of a fault in a Product covered by the Warranty (other than Non-Warranty Faults set out in clause 10.2 below), WSA or the relevant WSA Distributor shall repair or replace, as determined by WSA, the Product in accordance with and subject to the terms set out in the Product Warranty and Returns Terms, and subject to the exclusions in Clause 10.2. Repairs or replacements may be made with products or parts that are new, used or refurbished.
Faults in non-custom Products covered under the Product Warranty and Returns Terms (except for Non-Warranty Faults) reported to WSA within the Manufacturer’s Warranty Period shall be repaired, or Products replaced, by WSA (or the relevant WSA Distributor) at WSA's cost.
End-customers of the relevant members of the hear.com Group shall be entitled to return Products within the relevant period set out in the “Exchange and Return Policy” in the Product Warranty and Returns Terms, subject to the terms of the Product Warranty and Returns Terms. All returns must be made in accordance with the Product Warranty and Returns Terms.
