ARTICLE 1: SCOPE OF SERVICES The CONTRACTOR shall provide the following: Consulting services, including but not limited to advice and guidance regarding operating and managing a Virginia natural gas utility, as requested from the Company or the Board of Directors for the period February 6, 2020 through February 1, 2021.

SCOPE OF SERVICES CBIZ to perform the following procedures to verify the completeness and accuracy of the litigation funding lien assets (“Receivables Pool”) included in the data tape utilized for the Preliminary Private Placement Memorandum of Golden Pear Securitization, Series 2020-1 (“PPM”), which date still needs to be determined (“Transaction”) (“Data Tape”) as of the effective date of September 30, 2020 (“Effective Date”). CBIZ will judgmentally sample 100 selected assets from the Date Tape (“Sample Group”). CBIZ will perform the following procedures.
Scope of Services: Duke will provide design, procurement, construction and project management activities and installation services (“Services”) to Core Scientific related to the following: • Provide labor, equipment, and material to install four (4) overhead circuits to feed Customer provided transformers plus one (1) additional circuit for future use. The installation will include: a. Wood poles, crossarms, switches, arresters, aluminum conductor (overhead and underground), conduit (PVC), junction cabinets (qty of 2) and associated hardware to tie-in from Duke Energy’s delivery point to feed twenty four (24) Customer provided transformers. b. 25kV, 200A elbow kits provided and installed on cable and landed on Customer’s transformers.
THE SERVICES. Subject to the terms of this Agreement, Company hereby engages Consultant to perform, and Consultant shall perform, such services (the “Services”) as specified in Exhibit A attached hereto, as amended from time to time in writing signed by Company and Consultant (the “Scope of Services”). Spencer Gore shall perform the Services on behalf of Consultant.
The Consultant shall provide the services in the capacity of “Chair of the Advisory Board of the Corporation” on a current basis. It is contemplated that the Consultant’s scope of services shall include but not be limited to identifying, reviewing, and assessing potential members of the Advisory Board, and advising the board of directors of the Corporation (the “Board”) and management of the Corporation with respect to ongoing business development matters. Accordingly, by invitation, the Consultant may participate as a guest at Board meetings from time to time. The scope of services may be revised by the Corporation and Consultant by mutual agreement.
Performance of Tasks/Scope of Services. The Strategic Consultant shall have control and discretion over the means and manner of performance of the Services in achieving the result of the work to be performed. The Strategic Consultant shall perform tasks explicitly requested or reasonably required by the Company (the “Scope of Services”) in furtherance of the provision of the Services. If any services, functions or responsibilities not specifically described in this Agreement or among the Scope of Services are required for the proper performance and provision of the Services, they shall be deemed to be included within the Scope of Services to the same extent as if specifically described in this Agreement. The Strategic Consultant shall supply all necessary equipment, materials and supplies and shall not rely on the equipment or offices of the Company for completion of the Services. The Company retains the right to inspect, stop, or alter the work of the Strategic Consultant to assure its conformity with this Agreement.
SCOPE OF SERVICES The Architect shall provide Basic Services as specified in the modified form of the 2007 Edition of the AIA 8151 Standard Form of Agreement Between Owner & Architect with modifications as we may mutually agree upon. Basic Services shall consist of the Schematic Design Phase, Design Development Phase, Construction Document Phase, and Construction Administration Phase. For the purpose of this Agreement, Basic Services include normal architectural, structural, mechanical, electrical, plumbing, and fire protection design. Basic Services shall also include the interior design of the hotel back-of-house areas. Interior design of the other areas is not included. In addition to the Basic Services listed above, the Architect may provide the following Other Services required for the project at the discretion of the Owner: interior design of the other facilities, landscape design, kitchen consultant, laundry consultant, lighting consultant, acoustical consultant, civil engineering, graphics and signage design, and hotel specialty systems design. Other required services shall be provided by the Owner and shall include, but are not limited to FF&E Purchasing and Procurement, Cost Consultant/Estimating Services, Testing, and Geotechnical Services.
