Nothing in this Agreement will limit Consultant’s ability to provide truthful information to any government agency regarding potentially unlawful conduct.

The Borrower authorizes the Lender to discuss the Borrower’s financial affairs and business operations with any accountants, auditors, business consultants, or other professional advisors employed by the Borrower, and authorizes such parties to disclose to the Lender such financial and business information or reports (including management letters) concerning the Borrower as the Lender may request.
9.7. Waiver of Confidentiality. In the event that Licensee wishes to discuss with any Third Party service provider or former Sanofi employee that performed Development activities for the [***] certain Licensed Know-How or Other Data licensed hereunder which such Third Party service provider or former Sanofi employee had access to by virtue of an agreement with Sanofi, Sanofi will, promptly after Valo requests, provide such Third Party service provider or former Sanofi employee a letter waiving or modifying its confidentiality rights under the applicable agreement to permit such discussion.
WAIVER OF CONFIDENTIALITY OF BUSINESS ADDRESS. Borrower hereby waives any and all rights to keep the business address of Borrower confidential from Lender whether on file with the Department of Motor Vehicles or equivalent governmental agency. Borrower hereby authorizes Lender, its agents, successors, and/or assigns, to obtain the business address from any agency whenever Lender deems it has a legitimate need for this information.
The failure to appropriately mark information/materials as “confidential” or “proprietary” upon initial disclosure to the Receiving Party will not be considered a waiver of confidentiality.
5. DISCLOSURE REQUIRED BY LAW A disclosure of Proprietary Information in response to a valid order by a court or other governmental body or otherwise required by law is not considered to be a breach of this Agreement or a waiver of confidentiality for other purposes.

Subject to the foregoing, the Agent, the Managing Agents, the Investors, the Program Support Providers and the Administrators hereby agree to maintain the confidentiality of any non-public information.
