This Statement of Work (“SOW”) is entered into pursuant to the Master Services Agreement between Company 1 (Name), a company incorporated under the laws of Governing jurisdiction state of Company 1 (“Company 1 (Reference)”) and Company 2 (Name), a company incorporated under the laws of Governing jurisdiction state of Company 2 (“Company 2 (Reference)”), dated as of Master agreement signature date and effective as of Master agreement effective date, as it may be amended from time to time (the “Master Services Agreement”).
Services performed pursuant to this SOW will be subject to the terms and conditions of this SOW and the Master Services Agreement.

Company 2 (Reference) also agrees to provide any additional Services as may be reasonably requested by Company 1 (Reference) for the Term of the Agreement, with such Services to be quoted separately.

Payment Mechanics
Notwithstanding Section Referenced section number of the Services Agreement, on the last day of each month while this Statement of Work is outstanding, Company 2 (Reference) shall render an invoice in respect of all final Deliverables delivered to, and accepted by, Company 1 (Reference) (acting reasonably) in the preceding month. Except for any amounts that may be in dispute, Company 1 (Reference) shall pay all invoices within Invoice payment duration of receipt of such invoice.
