This Work Order is subject to the terms of the MSA Attachment No. 4 effective January 1, 2017 between the parties and the Master Services Agreement dated December 15, 2016 between ACADIA and Siegfried AG.

Each Work Order shall include the total cost of Services to be provided under each such Work Order, which amount shall not be exceeded without ACADIA’s prior written consent.
Work Orders, Nature of Work.
(a) Work Orders The details of each Project under this Master Agreement shall be separately specified in writing in a work order signed by each Party (together with any Change Order with respect thereto, a “Work Order”). Each Work Order will include, as applicable, the Protocol title or project description, a description of the Services to be performed by THERAPEUTICS, the specifications of the applicable Study Drug including the Active Pharmaceutical Ingredient, the estimated timeline, budget and payment schedule and such other terms as shall be agreed upon by the Parties. The terms of this Master Agreement shall be automatically incorporated into the terms of any Work Order. This Master Agreement and each Work Order, independent from other Work Orders, constitute the entire agreement for a Project. To the extent any terms or provisions of a Work Order conflict with the terms and provisions of this Master Agreement, the terms and provisions of this Master Agreement shall control, unless otherwise expressly set forth in the Work Order.
Work Order Compensation
(a) Unless otherwise provided for and agreed to in a particular Work Order, the following shall apply with respect to all payments by QUOIN for Services under a Work Order:
(i) THERAPEUTICS will be compensated for its Services, itemized expenses, and pass- through costs, net of discounts, incurred in the performance of the Services pursuant to the budget and payment schedule set forth in each respective Work Order.
Work Order means a document (in substantially the same form as that set out in Schedule 1) which has been issued by Quotient and agreed by both Parties as envisaged under Clause 2.1.
Either Party may terminate a specific Work Order (and the Research), forthwith by giving notice in writing to the other party, if such party is in material breach of that Work Order and (where the breach is capable of remedy) fails to remedy the same within thirty (30) days of a request specifying the breach and requiring it to be remedied.
3 Work Order
3.1 When the Company requires the Consultant to provide Services it will submit a Work Order by email to the Consultant in the form set out in Schedule 1.
3.2 A Work Order will not be binding until the Company receives from the Consultant an acceptance of that Work Order, which acceptance must be in writing and may be given by email
3.3 A Work Order issued by the Company will form part of this agreement.
3.4 Each party must act in accordance with any Special Conditions detailed in a Work Order.
3.5 The Consultant must procure the Key Person and any other of its Personnel who provide the Services to sign the personal undertaking in Schedule 2, before the Key Person or Personnel commence the performance of any Services under a Work Order
“Work Order” means a work order for the provision of Services entered into by two or more parties, which shall be substantially in the form of the template set out in Schedule 2 (Template Work Order) to this Agreement, or such modified or alternative form as the relevant parties may agree.
4.
WORK ORDERS
4.1
Subject to and in accordance with the terms of this Agreement, a Block.one Group Affiliate, as a Provider, may provide Services to a Bullish Group Affiliate, as a Recipient, pursuant to a duly executed Work Order to be entered into between the relevant Provider and the relevant Recipient.
4.2
Each party may negotiate and agree any number of Work Orders with the any other party to provide Services. Each proposed or amended Work Order shall constitute a legally binding agreement of the relevant parties on the date of the Work Order.
4.3
In the event of any inconsistency between the terms of this Agreement and the terms of a Work Order, the terms of this Agreement shall prevail over the terms of the Work Order unless the Work Order expressly refers to the specific conflicting term or condition in this Agreement and specifies that the Work Order’s replacement term or condition applies instead.
1.5 Products and Services, Generally. The Parties have entered into Work Order #1 as of the Effective Date and may enter into additional separately executed work orders in the form agreed by the Parties in writing from time to time (each, a “Work Order”). Amazon will issue Purchase Orders under such Work Orders in accordance with the terms set forth in this Agreement and in the Work Orders. Rivian agrees to Develop, Manufacture, supply, and deliver to Amazon, and at Amazon’s request and subject to Section 1.6, to any Authorized Purchaser, any Products and perform the Services as identified in a Work Order and subsequent Purchase Orders, in accordance with the Requirements and the other terms and conditions of this Agreement. The Parties may update the Requirements for any Product or Service as set forth in the applicable Order and may add additional Products and Services by executing additional Work Orders.
“Work Order” means a description of services and additional relevant details mutually agreed upon in a document executed by each of the Parties, pursuant to which Ginkgo will, subject to and pursuant to this Agreement (including Section 2.15), itself or, subject to Section 2.11, through one or more Affiliates or Third Parties, perform a set of services defined therein related to the Development (beyond or modifying the work described in a separate, fully executed TDP), Scale Up or Manufacture, including the facilitation thereof which may involve the establishment of a facility and related operations for such Development, Scale Up or Manufacture, of one or more Cronos Products from a Collaboration Strain. Each Work Order executed by the Parties shall be deemed to be incorporated by reference in this Agreement. The first Work Order is included herein as Exhibit C and shall be deemed approved upon execution of the First Amendment.
